Waterfall Methodology

Tier 1 — Return of Capital
100% to LP

All invested capital returned to limited partners before any profit split.

Tier 2 — Preferred Return (8%)
100% to LP

Annual 8% preferred return on invested capital, compounded and paid to LPs.

Tier 3 — GP Catch-Up
100% to GP

GP receives 100% of distributions until GP has received 20% of total profits distributed to that point.

Tier 4 — Profit Split
80% LP / 20% GP

Remaining profits split 80/20 between limited partners and general partner.
